Illinois LLC Filing Fee ($150)

Paid once, when you file the Articles of Organization. $150 for Articles of Organization, form LLC 5.5 — the same online or on paper. A SERIES LLC is a different animal and costs nearly three times as much: form LLC 5.5(S), Articles of Organization (Series), is $400. Expedited service adds $100 to the Articles (see expedite tiers) and "the expedited fee amounts are in addition to the applicable filing fees, franchise taxes, penalties and interest." Payment: "Cash is not accepted for filings with the Secretary of State's office. Make checks payable to the Illinois Secretary of State."

Illinois Annual Report ($75 annual)

Due Limited Liability Company Annual Report, form LLC 50.1, $75 — one of the higher annual report fees in the country and roughly half the cost of forming the company again each year. Expedited processing of the annual report adds $50. DUE DATE NOT PUBLISHED: the Secretary of State's fee tables carry the amount, and the LLC annual report instructions page carries the filing rules, but neither states a deadline — so this pack records the fee and declines to assert an anniversary-month rule it did not read. What the instructions page does say, verbatim: "Domestic and Foreign Limited Liability Companies may file a standard annual report electronically"; "The annual report must be filed by an officer listed in the report's section for officers"; "An electronically transmitted annual report is considered an original filing"; and, on late filing, "All penalties incurred as of the current date must be paid along with the filing fee at the time of filing." Online filing is blocked in several cases — an LLC cannot file electronically if it "has been administratively dissolved or revoked", "has withdrawn or terminated or expired", "has more than eight managers", "has managers not qualified to transact business in Illinois", or "has changes to the name, duration, or purpose, or the name of the registered agent or the address of the registered office". Changing the agent is a separate filing: "File the annual report indicating no changes", then change the agent online or on Form LLC-1.36/1.37 ($25). Note the surcharge Illinois does not fold into the $75: "A payment processor fee will be assessed for all transactions.". Missing it is how most administrative dissolutions start, so it is worth a calendar entry rather than a memory.

Getting the most from it

  1. Pick the state you would form in — only states we have verified appear, and the count is stated.
  2. If the business will operate in a DIFFERENT state, say so: the tool then prices both filings, both annual reports, and the registered agent you would have to rent.
  3. Toggle the registered agent off if you have an address in the state and are willing to be your own — most states allow it at no cost.

Reading your result

The year-one figure is what starting costs; the every-year-after figure is what staying costs; and the multi-year total is the honest basis for comparing states. It prices state obligations, not your taxes: state income tax, sales tax registration, and local licences depend on what the business does and are not in these figures.
